These Terms of Service ("Terms") govern your access to and use of the YouReply Maker service available at youreplymaker.com and its subdomains (the "Service"). By using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
1) Definitions

YouReply Maker / We / Us: The provider operating the Service.

User / You: Any individual or entity that registers for, accesses, or uses the Service.

Account: A User account created on YouReply Maker.

Workspace: A subscription context where multiple users and channels can be managed.
-
YouTube Data: Channel, video, comment, and related metadata that you authorize for access via Google APIs.
2) Eligibility & Account

You must have legal capacity to form a binding contract under applicable law.

You agree to provide accurate, current, and complete information and to maintain the confidentiality of your credentials. You are responsible for all activities under your Account.

If you register on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
3) Integrations & Third Parties

The Service integrates with Google/YouTube via OAuth. Access to Google user data is limited by the Google API Services User Data Policy (Limited Use) and the YouTube Terms of Service. Your actions on YouTube remain subject to YouTube’s policies (e.g., Community Guidelines, Spam and Fake Engagement policies).

Third‑party services (payment processors, email, hosting, etc.) are governed by their own terms and privacy policies. We use reasonable efforts to ensure reliable operation but are not liable for outages or limitations originating from those third parties.
4) Permissions, Scopes & Your Responsibilities

You connect your Google/YouTube account by granting only the minimum scopes required. You can disconnect at any time (see §12).

You are fully responsible for all moderation and reply actions taken on your channels (e.g., posting replies, deleting/hiding/holding comments). YouReply Maker executes these actions at your instruction as a technical interface.

API quotas and rate limits are enforced by Google; we are not responsible for limitations caused by quota exhaustion or platform changes.
5) Acceptable Use Policy (AUP)
You may not use the Service to:

Violate applicable laws, third‑party rights, or YouTube/Google policies.

Engage in harassment, hate speech, threats, doxing, or spam.
-
Attempt unauthorized access, reverse engineering, security bypass, or interfere with the operation of the Service and/or third‑party APIs.

Share credentials, act on behalf of others without authorization, or share tokens/sessions.
-
Infringe copyrights, trademarks, privacy or publicity rights, or process content that violates such rights.
-
Run abusive automation, scraping, or disproportionate request loads that exceed fair‑use limits.
We may warn, suspend, or terminate Accounts for violations.
6) Subscriptions, Fees & Refunds

The Service is offered under a subscription model. Plan, price, billing period, and features are disclosed at purchase.

Fees may change with prior notice; changes take effect at the start of the next billing period for existing subscriptions.

Payments are processed through our payment provider. Invoices and tax records are retained as required by law.

Refunds are governed—unless stated otherwise—by applicable law and our on‑site Refund/Cancellation Policy.

Early cancellation of a term does not guarantee pro‑rated or partial refunds unless expressly stated or required by law.
7) Intellectual Property

Your Content: You retain rights to content you own on YouTube. You grant us a worldwide, non‑exclusive, non‑transferable, royalty‑free license to process such content solely to provide and improve the Service.

Our Rights: The Service (software, UI, designs, data models, trademarks, and logos) is owned by us or our licensors. Unless expressly permitted, you may not copy, reproduce, or create derivative works.

Feedback: We may use feedback and suggestions without obligation.
8) Privacy & Data Protection

Processing of personal data is governed by our Privacy Policy.

For EEA/UK users, legal bases, retention periods, and rights are outlined in the Privacy Policy. A Data Processing Addendum (DPA) with Standard Contractual Clauses can be provided upon request when applicable.
9) Availability & Changes to the Service

The Service is provided “as is” and “as available.” We do not warrant uninterrupted operation or specific outcomes.

We may perform maintenance or make reasonable service interruptions for security, capacity, or feature updates.
-
We may add, modify, or remove features at our discretion.
10) Beta / Experimental Features
-
Beta or experimental features are provided without any warranties, may change, and may be discontinued at any time. Use at your own risk.
11) Disclaimer of Warranties

To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non‑infringement.
12) Termination, Disconnection & Data Portability
-
You may terminate your subscription and/or disconnect Google at any time.

In‑app steps:

Log in at youreplymaker.com/user/login.
-
Go to Account → My Channels → Action → Disconnect.

To permanently remove your data, go to Settings → Account → Delete account.

After termination or disconnection, retention and deletion timelines are defined in the Privacy Policy.
13) Limitation of Liability

To the maximum extent permitted by law, YouReply Maker is not liable for any indirect, incidental, special, punitive, or consequential damages (including lost profits, goodwill, data, or business interruption).

For direct damages, our aggregate liability is limited to the amount you paid for the Service in the 12 months preceding the event giving rise to the claim.

These limitations do not apply where prohibited by consumer protection laws.
14) Indemnification

You agree to indemnify and hold YouReply Maker harmless from claims arising out of (i) your use of the Service, (ii) your breach of these Terms, or (iii) your violation of third‑party rights, including reasonable attorneys’ fees.
15) Term & Termination by Us

These Terms remain in effect while your Account is active. We may suspend or terminate your Account for violations of these Terms.

Upon termination: your access ceases; retention/deletion rules are governed by the Privacy Policy; statutory retention obligations may apply.
16) Changes to the Terms

We may update these Terms from time to time. We will post updates on this page and use reasonable notice methods for material changes. Continued use after changes constitutes acceptance of the new Terms.
17) Governing Law & Venue

These Terms are governed by the laws of the Republic of Türkiye (excluding conflict‑of‑laws rules).

Courts and enforcement offices of Istanbul (Merkez) shall have exclusive jurisdiction, without prejudice to mandatory consumer rights under applicable law.
18) Miscellaneous
-
Assignment: You may not assign your rights or obligations without our prior written consent. We may assign in connection with corporate transactions.

Force Majeure: We are not liable for failures due to events beyond our reasonable control (e.g., natural disasters, war, strikes, infrastructure/telecom failures, third‑party outages).

Severability: If any provision is held invalid, the remainder stays in effect.

Waiver: Failure to enforce a provision is not a waiver of our right to do so later.

Entire Agreement: These Terms, the Privacy Policy, and any referenced policies form the entire agreement between you and us regarding the Service.
